Welcome to VARENZO. This website is operated by Richard Moreno Amador and Joshua Peralta Almonte, doing business as VARENZO ("VARENZO," "we," "us," or "our"). These Terms & Conditions ("Terms") govern your access to and use of our website and your purchase of products from our store. By accessing our site or placing an order, you agree to be bound by these Terms.

1. Acceptance of Terms

By using this site, creating an account, or placing an order, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, and capable of forming a legally binding contract, to place an order or otherwise use this site on your own behalf. If you are under this age, you may only use the site with the involvement and consent of a parent or legal guardian.

3. Product Information

We work to ensure that product descriptions, materials, and specifications listed on our site are accurate. Please rely on the written specifications (materials, measurements, and included documentation) shown on each product page rather than on general marketing language. VARENZO selects and sells fine jewelry in 925 sterling silver set with moissanite, sourced from suppliers. We reserve the right to correct product descriptions or pricing errors at any time.

4. AI-Assisted Product Imagery

Some product imagery on our site may be created or enhanced with the assistance of artificial intelligence and digital imaging tools, based on reference imagery of the actual products offered for sale. Full details are available in our AI & Digital Media Disclosure. Use of AI-assisted imagery does not change the actual physical materials or specifications of the merchandise sold.

5. Product Variations

Minor variations in polish, stone placement, or measurements may occur between units. Small variations like these are not a defect, but an item that is damaged, scratched, missing a part, or materially different from its product page description is covered by our Return & Refund Policy.

6. Pricing

All prices are listed in U.S. Dollars and do not include applicable sales tax, calculated at checkout. In the rare event that a product is listed at an incorrect price due to a typographical, pricing, or system error, VARENZO reserves the right to contact you with the correct price before shipping, or to cancel the order and issue a full refund. This section does not authorize VARENZO to change the price of an order you have already validly paid at the price shown at checkout, absent such an error.

7. Order Acceptance, Payment & Fraud Prevention

Receipt of an order confirmation does not guarantee acceptance of your order. VARENZO reserves the right to cancel and refund any order, in whole or in part, for legitimate reasons, including but not limited to: suspected fraud or unauthorized use of a payment method, a duplicate order, a pricing or system error, incomplete or inaccurate order information, unavailability of the merchandise ordered, or other genuine security, verification, or fulfillment concerns. We do not cancel orders on an arbitrary or discriminatory basis.

8. Order Cancellations & Address Corrections

You may cancel your order or correct your shipping address within 30 minutes of placing it by emailing varenzojewelryco@gmail.com. Full details, including what happens after this window, are set out in our Return & Refund Policy. You are responsible for the accuracy of the shipping address provided at checkout.

9. Shipping & Returns

Shipping timelines are described in our Shipping & Delivery Policy. Returns, refunds, and related issues are governed by our Return & Refund Policy.

10. Force Majeure

VARENZO is not liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from causes beyond our reasonable control, including but not limited to acts of God, natural disaster, war, terrorism, civil unrest, labor dispute, carrier or shipping delay, supplier disruption, internet or utility failure, or governmental action. This does not excuse our duty to notify you of a delay and offer you the choice to wait or cancel for a full refund, as described in our Shipping & Delivery Policy.

11. Customer Reviews

We welcome honest customer reviews and feedback. By submitting a review, you confirm it reflects your genuine experience. VARENZO does not create, purchase, or manipulate fake reviews or testimonials. We may moderate or remove review content that is spam, contains threats or harassment, is unlawful, impersonates another person, or is clearly irrelevant to the product or your experience with it. We do not suppress or remove truthful negative reviews.

12. Influencer & Creator Disclosures

Any content creator or influencer who receives compensation, free product, or other consideration from VARENZO in connection with content about our products must clearly disclose the relationship (for example, "Gifted by VARENZO" or "Paid partnership with VARENZO") in accordance with applicable advertising disclosure guidelines.

13. Intellectual Property

The VARENZO name, logo, branding, website design, written content, graphics, and product photography are the property of VARENZO and are protected by applicable copyright and trademark law. They may not be reproduced, distributed, or used commercially without our prior written consent. Nothing in these Terms should be read as VARENZO claiming ownership of any third-party or supplier trademark.

14. Warranty

Except as stated in our Quality Guarantee, in our Return & Refund Policy, or on an individual product page, VARENZO does not offer a separate extended warranty. This section does not limit or deny any legitimate claim relating to a defective, misrepresented, or materially non-conforming item, or any right that cannot be waived under applicable law.

15. Limitation of Liability

To the fullest extent permitted by law, VARENZO shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from the use of our products or website, even if VARENZO has been advised of the possibility of such damages. IN NO EVENT SHALL VARENZO'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO YOUR USE OF THIS SITE OR PURCHASE OF OUR PRODUCTS EXCEED THE TOTAL AMOUNT YOU ACTUALLY PAID TO VARENZO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. This limitation applies to the fullest extent permitted by law and does not apply to, or limit, any liability that cannot be limited or excluded under applicable law (including, where applicable, liability for death, personal injury, fraud, or willful misconduct).

16. Indemnification

You agree to indemnify, defend, and hold harmless VARENZO, its owners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of our website or products; (b) your violation of these Terms; or (c) your violation of any applicable law or the rights of a third party. This section does not require you to indemnify VARENZO for damages caused by VARENZO's own negligence, willful misconduct, or violation of law, to the extent applicable law does not permit such a limitation.

17. Informal Resolution, Arbitration & Class Action Waiver

If you have a concern or dispute, please contact us first at varenzojewelryco@gmail.com and give us 30 days to try to resolve it informally. Most concerns can be resolved quickly this way.

If a dispute arising out of or relating to these Terms, your purchase, or your use of our site cannot be resolved informally, you and VARENZO agree that, to the fullest extent permitted by applicable law, it will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring a qualifying claim in small claims court instead. YOU AND VARENZO EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION, AND EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL. This arbitration and class-action-waiver provision does not apply where, and to the extent, applicable law prohibits it, and it does not waive any consumer right that cannot be waived under the law of your jurisdiction.

18. Governing Law & Venue

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles, and subject to any applicable consumer protection laws and rights that cannot be waived under the law of your jurisdiction. To the extent any dispute is not subject to Section 17 or is otherwise permitted to proceed in court, you agree that it shall be brought exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of those courts, except where applicable law gives you the right to bring a claim in your own local jurisdiction and that right cannot be waived.

19. Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced in these Terms, constitute the entire agreement between you and VARENZO regarding your use of the site and purchase of our products, and supersede any prior or contemporaneous agreements, communications, or understandings, whether written or oral, regarding that subject matter.

21. Assignment

You may not assign or transfer these Terms, or any rights or obligations under them, without VARENZO's prior written consent. VARENZO may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets, including to a limited liability company formed by the owners to carry on this business.

22. Changes to These Terms

We may update these Terms from time to time. Changes apply to orders placed after the updated date and do not take away rights on an order you have already placed.
